TERMS & CONDITIONS

1. General Services
   1. FileDocsPhil is a brand name of Filepino Inc., a corporation duly organized and existing under the laws of the Republic of the Philippines.
   2. All transactions shall be governed by Philippine laws and any dispute shall be instituted and brought solely before the courts of Taguig City, Philippines only, to the exclusion of all other courts.
   3. FileDocsPhil primarily provides services relating to BIR CAR processing, Title Transfer and Apostille, and the drafting of legal forms, pre-computation of estimated taxes, and filing, preparing, and collating of documents.
   4. In relation with Title Transfer, FileDocsPhil provides the following business services:
      1. Condominium or Land Title Transfer;
      2. Traceback and Title Verification;
      3. Cancellation and Issuance of Tax Declaration;
      4. Extra Judicial Settlement Drafting of Contact/Agreement;
      5. Assistance in Payment of Real Property Taxes;
      6. Assistance on Voluntary Annotation and/or Cancellation of Annotation in Title;
      7. Assistance in Usufruct Agreement;
      8. Assistance in filing Reconstitution of Lost Title;
      9. Assistance in Partition of Property;
      10. Assistance in Correction of Title; and
      11. Assistance in Conversion to e-Title.
2. General Terms

1. 1. By availing of the services of FileDocsPhil, Client indicates that he/she/it has(ve) read and understood the provisions found below and agree to all of the following:
   2. Clients who desire to engage business must contact us thru any of our contact information available in our website and/or by collaborating with any of the company’s employees who may assist the client in their desired service assistance.
   3. Clients must have a legitimate contact information for the company to easily get, verify or correct any information of the clients required for business registration.
   4. Clients should be cooperative and responsive with the company’s requests which are vital for faster processing of projects.
   5. During the process, it is the client’s responsibility to inform the company about the changes desired and/or the modifications as regards the project requested.
   6. Any additions or changes to Services requested by Client outside the scope of the original terms of this Agreement will be billed separately.
   7. Client is entitled to status reports of works in progress.

3. Fees and Payment Terms. Client is required to pay the amount due indicated in this contract.
4. Storage, Internet Access, Marketing Representations. Client acknowledges that Company is not responsible for backing up Client's data. Client is solely responsible for the access to Internet.

5. Termination. FileDocsPhil, at its sole discretion, may terminate its Services, for any reason, such as but not limited to (i) FileDocsPhil believes Client has violated this Agreement, (ii) accounts are 30-days delinquent, (iii) spurious documents are presented (iv) unacceptable practices such as but not limited to anti money laundering, and other illegal activities that FileDocsPhil deems to be unacceptable; and FileDocsPhil may discontinue providing Services, with or without notice. If Client terminates account before the Services is completed and with 30-days written prior notice, a cancellation fee is retained. Termination under this provision is without prejudice to any unpaid fees incurred prior to termination’s effective date.

6. Cancellation Fee and Refund Policy.Within 15 days of the initial sale and prior to the completion of the project, refunds or fees paid may be allowed for a minimum retention by FileDocsPhil of: (i) 50% for no works started and no contents submitted; (ii) 75% if work has been presented to Client, or FileDocsPhil made multiple attempts to work with Client and no response has been made; (iii) 100% and no refund if there are any changes and/or modifications made requested by Client on completed works; (iv) 100% and no refund if Client cancels after 90 days from the initial sale; (v) 100% and no refund for work begun on any amendments, which is separate from the original sale, purchased; and (vi) no refund on director fees.

7. Billing Disputes.FileDocsPhil charges up to a $35.00 fee for returned checks and a $200.00 fee to handle unauthorized credit card disputes. If FileDocsPhil does not receive payment in full when due, FileDocsPhil may, charge a late fee of up to 1.5% per month (18% per annum), or a flat fee of $5 per month, whichever is greater, on any unpaid balance.

8. Amendments to Guidelines. Client acknowledges that FileDocsPhil may establish general guidelines and limits concerning the use of FileDocsPhil's Services and may modify these guidelines at any time.

9. Disclaimer of Warranties, Limitation of Liabilities, Force Majeure.CLIENT'S USE OF FILEDOCSPHIL'S SERVICES IS AT CLIENT'S OWN RISK. FILEDOCSPHIL'S SERVICES ARE PROVIDED "AS IS". CLIENT UNDERSTANDS AND AGREES THAT FILEDOCSPHIL SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES. SUCH LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM THE USE OF OR INABILITY TO USE FILEDOCSPHIL'S SERVICES, RELIANCE ON FILEDOCSPHIL'S SERVICES, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF FILEDOCSPHIL'S SERVICES. Without limiting the foregoing, under no circumstance shall FileDocsPhil be liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces or causes beyond its reasonable control.

10. Notices. All notices required under this Agreement shall be in English writing, and shall be delivered personally, or email, facsimile, certified mail, postage prepaid addressed to: FileDocsPhil, Inc. 604 The Infinity Tower 26^th St., Bonifacio Global City, Taguig City, Philippines.
11. Severability.In the event that any provision hereof is found invalid or unenforceable, the remainder of the TOS shall remain valid and enforceable.
